SAN ANTONIO, TEXAS, AUGUST 19, 2025 – Streamline Innovations, Inc. (“Streamline”), a leader in environmentally advanced gas and water treating solutions for contaminants such as hydrogen sulfide (“H₂S”), today announced the successful completion of a recapitalization transaction designed to position the company for accelerated growth and new strategic opportunities in the energy sector and other industrial markets.

The transaction includes a significant equity investment from Eldon Pass, with a strategic investment from Select Milk Producers and its affiliates. Select Milk is one of the largest and most innovative dairy cooperatives in the United States. Additionally, Proterra Investment Partners LP arranged and led a comprehensive unitranche loan to help facilitate the transaction. These combined proceeds will be used as strategic capital to position Streamline for continued growth in the energy market, as well as expansion into additional industrial markets and geographic regions. Proceeds were also used to redeem the majority of existing equity holders at attractive returns for them, and to simplify the Company’s ownership structure.

“This recapitalization is a defining moment for Streamline, but truly just the end of the beginning,” said Dave Sisk, Co-Founder and CEO of Streamline Innovations. “We are so thankful for the unwavering support of our former investors who stood with us and helped the company grow from an idea to the enterprise we are today. We could not have achieved our success thus far without the help of Pearl Energy Investments, Energy Innovation Capital, Kayne Anderson Energy Infrastructure Fund, Riverstone Credit Partners, Breakwall Capital and numerous private investors. Now, with the support of our new stakeholders, we are poised for continued growth, which we will pursue in various ways including the development of new products and technologies to help customers both economically and environmentally. While the Company will continue to operate as an independent entity, we couldn’t be more excited to partner with Select Milk. Select Milk believes in our people, technology, and processes, and their entrepreneurial spirit and history of creating enormous value for stakeholders will undoubtedly benefit everyone going forward. In addition to growing our existing energy business and serving our great customers in the energy space, we see additional opportunities that exist through the Select Milk relationship.”

Eldon Pass, which structured and led the equity investment, expressed confidence in Streamline’s trajectory:

“Streamline is entering a new phase of growth,” said Matt Harrison, Partner, Eldon Pass. “This capital structure gives the Company the resources and flexibility to accelerate expansion and pursue transformative opportunities, and we are excited to work shoulder-to-shoulder with them to make that happen.”

Select Milk Producers, the lead equity participant, emphasized the importance of sustainability-focused innovation:

“A core part of our strategy is being great stewards of our land, the environment and our animals while keeping American industry clean, driving sustainable solutions and setting a higher standard.  We are also committed to being an industry leader and creating value for our stakeholders.  Streamline takes this same approach, and we are excited about our future together,” said Shay Braun, President, Select Milk Producers.

Lazard served as the exclusive financial advisor to Streamline Innovations, and Vinson & Elkins LLP acted as legal counsel for the transaction.

Streamline Innovation’s vision is Reducing Emissions Through Technology.  We help global industries meet environmental goals, enhance sustainability, and transition to a lower-carbon future.

Streamline Innovations’ VALKYRIE® H2S Treating System supports environmental and sustainability goals by destroying H2S and producing elemental sulfur, which can be used in agriculture, unlike some processes that produce pollution or toxic waste.

Streamline’s VALKYRIE uses TALON®, a non-toxic, biodegradable Redox process to remove H2S from gas streams. This is done by converting H2S to elemental sulfur and regenerating the chemistry with air, allowing the process to repeat continuously. The elemental sulfur is then filtered out of solution and stored in a container for transport.

The VALKYRIE® H2S Treating System doesn’t just capture H2S, it destroys it, eliminating the need to flare sour gas, which is critical for reducing routine flaring and SO2 emissions.

The infographic below summarizes the environmental sustainability benefits provided to our customers by VALKYRIE units operating during 2024.

“Leading oil and gas operators are utilizing Streamline technology to unlock the value of their sour gas assets in an efficient and environmentally friendly way. The VALKYRIE Environmental Sustainability Scorecard highlights the measurable environmental advantages of our technology.”

– David Sisk, CEO

Streamline’s sulfur produced from the VALKYRIE solution is listed as Simple Elemental Sulfur™ with the Organic Material Review Institute (“OMRI”) for use as an organic fertilizer. OMRI certification complies with USDA National Organic Program (“NOP”) regulations. Simple Elemental Sulfur™ is a powdered, amorphous sulfur that acts as a soil amendment, raising soil pH and enhancing nitrogen uptake.

Streamline Innovations was recently featured in the Newsweek magazine Industry Innovators report.

Excerpt: True to its corporate name, Streamline Innovations uses patented technologies to help heavy industries run more sustainably, efficiently and profitably. One such innovation is used in treating hydrogen sulfide (H2S), a major contaminant in the oil and gas, wastewater, renewable gas and industrial markets. Instead of traditionally flaring H2S-contaminated gas, which releases many toxic substances, Streamline Innovations has developed the VALKYRIE® plant that uses the company’s non-toxic biodegradable TALON® chemistry. This process converts H2S into water and OMRI (Organic Materials Review Institute) certified elemental sulfur that can be used in organic food production.

We’re making a difference by making our clients’ operations greener, easier to implement and more profitable. Our VALKYRIE® plant uses our biodegradable TALON® chemistry to convert hydrogen sulfide into water and sulfur for fertilizer, helping advance the circular economy. Besides helping our clients generate huge savings from more uptime and leaner operations, we’re eliminating about 300,000 pounds monthly of hazardous chemicals they don’t have to handle and transport.

Streamline Innovation’s vision is Eliminating Emissions Through Technology.  We help industry around the world achieve environmental performance objectives, improve sustainability, and transition to a sustainable, lower-carbon future.

One of the benefits of using a Streamline Innovations VALKYRIE® H2S Treating System is the positive contribution to Environmental and Sustainability directives.  Unlike like some hydrogen sulfide treatment processes that create pollution or toxic wastes, Streamline’s VALKYRIE destroys H2S, and creates elemental sulfur that can be used for soil amendment in agriculture.

Streamline’s VALKYRIE employs TALON®, a non-toxic, biodegradable Redox (“Reduction-Oxidation”) chemistry process that removes H2S from gas streams by converting it (“reduction”) to elemental sulfur and then regenerating the chemistry by introducing air (“oxidization”) so that the chemistry can repeat the treating process, over and over again.  The elemental sulfur is filtered from the chemistry and is accumulated in a container that will be used to store and transport the sulfur.

The VALKYRIE® H2S Treating System doesn’t just capture H2S, it destroys it, eliminating the need to flare sour gas, which is critical for reducing routine flaring and SO2 emissions.

The infographic below aggregates the environmental sustainability benefits delivered to our customers by VALKYRIE units operating during 2023.

Taprock Resources, a leading operator in the Permian Basin, is using VALKYRIE® hydrogen sulfide (H2S) treating technology to unlock the value of its sour oil and gas assets. Taprock is currently using four standard VALKYRIE 1.0 LTPD H2S treating units at multiple production sites in the Delaware region of the Permian Basin. They have been in operation for approximately one year.

Gas lift is a cost-effective method for artificial lift operations and requires a reliable source of natural gas. Taprock Resources chose VALKYRIE H2S treating technology from Streamline Innovations to sweeten the sour gas produced onsite. By doing so, Taprock can use the sweetened gas in its gas lift systems to unlock the tremendous value of its sour gas assets by increasing production and cash flow in a sustainable way.

“Streamline’s VALKYRIE technology has consistently delivered sweet gas that meets pipeline specifications and feeds our gas lift systems, helping us to boost production in a safe and sustainable way.”

-Justin Britsch, Production Manager with Taprock Resources

Benefits of VALKYRIE Gas Treating Technology for Gas Lift

  • Reduced Expense of Sweet Gas Buyback: VALKYRIE technology enables on-site treatment of sour gas, reducing or eliminating the need for expensive sweet gas buyback.
  • Lower Costs Associated with Sour Gas Takeaway: Onsite gas treating reduces fees paid to midstream partners for sour gas takeaway.
  • Remove Operational Constraints. On-site gas sweetening also removes bottlenecks in areas where sour takeaway is constrained or limited by lack of midstream processing capacity.
  • Non-Toxic and Eco-Friendly Chemicals: VALKYRIE technology employs non-toxic and environmentally friendly chemicals, minimizing harm to the environment and ensuring worker safety.
  • Turnkey Solution: Streamline handles all chemicals, maintenance, operations, and sulfur removal, taking away what is traditionally an operations headache for our customers.  We do this with 99+% operational uptime.
  • No Harmful Byproducts: The VALKYRIE treatment process produces no harmful byproducts, further contributing to environmental sustainability. The primary byproduct is Simple Elemental Sulfur™, approved by the Organic Materials Review Institute (OMRI) for use in organic food production.
  • Recyclability or Reusability: Many VALKYRIE systems allow for the recycling or reuse of chemicals, reducing waste and enhancing cost-effectiveness.

“Streamline’s VALKYRIE H2S gas treating technology is the most economic and environmentally friendly way to condition sour gas for artificial gas lift service,” said Randy Rohlfs, Chief Commercial Officer at Streamline Innovations. “Traditional H2S treating methods are typically expensive and often have negative operational and environmental effects. VALKYRIE units use a green technology that permanently dismantles the H2S molecule into harmless substances, allowing use in gas lift and eliminating routine flaring.”

Streamline Innovations is proud to announce it has achieved the significant milestone of driving more than 1 million miles safely in 2023!

This milestone is a testament to Streamline Innovations’ unwavering commitment to safety at time of record growth of installing and operating a record number of VALKYRIE™ H2S treating units in the field. This achievement would not have been possible without the collective effort of its dedicated team, state-of-the-art technology and a culture that places safety at the forefront.

In a world where safety is often overshadowed by productivity and efficiency, Streamline Innovations stands as an example of how a safety-first culture can not only protect lives but also drive success.
